1. Acceptance of Terms

The Partnerbase service, and any other features, tools, materials, or services offered from time to time by Partnerbase (the "Service") is made available by Crossbeam, Inc. ("Partnerbase", "we", "us", or "our"). By accessing or using the Service you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company, you represent that you have authority to bind that entity.

You must be at least 13 years of age to access or use the Service. By using the Service, you represent and warrant that you meet this requirement.

By using the Service, you agree to our Privacy Policy, which is incorporated into these Terms by reference.

2. The Service

Subject to these Terms, Partnerbase grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

The Service may be interrupted from time to time for maintenance, upgrades, or other reasons. We are not responsible for any inconvenience or loss caused by such interruptions.

3. No Fees

The Service is currently provided free of charge. We reserve the right to introduce paid offerings or premium features in the future. Any such changes will be communicated in advance.

4. User Content

You may share information about partnerships and company data through the Service ("User Content"). By submitting User Content, you grant Partnerbase a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform User Content in connection with the Service and Partnerbase's business, including for improving and promoting the Service.

You represent that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights or applicable laws.

5. Restrictions

You agree not to:

Copy, modify, or redistribute the Service or any part thereof without permission
Reverse engineer, decompile, or disassemble any part of the Service
Use automated means to scrape or extract data from the Service at scale
Upload harmful, offensive, or unlawful material
Attempt to disable, circumvent, or interfere with security features of the Service
Use the Service to send unsolicited communications to other users
Impersonate any person or entity, or misrepresent your affiliation

6. Proprietary Rights

The Service and all materials therein, including software, design, text, graphics, and data compilations, are owned by Partnerbase or its suppliers and are protected by intellectual property laws. Nothing in these Terms grants you any right to use Partnerbase's trademarks, logos, or branding without prior written consent.

7. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PARTNERBASE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTNERBASE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. IN NO EVENT SHALL PARTNERBASE'S TOTAL LIABILITY EXCEED THE GREATER OF THE AMOUNTS PAID BY YOU TO PARTNERBASE IN THE TWELVE MONTHS PRIOR TO THE CLAIM OR ONE HUNDRED DOLLARS ($100).

9. Indemnity

You agree to defend, indemnify, and hold harmless Partnerbase and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.

10. Term and Termination

These Terms are effective when you first access the Service and continue until you cease using the Service. Partnerbase may terminate or suspend your access at any time, for any reason, without notice. Sections 4-9 survive termination.

11. Dispute Resolution

Any dispute arising out of these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

12. General

These Terms are governed by the laws of the State of California without regard to conflict of law principles. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and Partnerbase regarding the Service.
